## 1. About these terms

These Terms of Service (the **"Terms"**) form a binding agreement between you and **GTAI**, a company registered in the United Arab Emirates (National Bank of Abu Dhabi, Abu Dhabi), in connection with your use of **SSHED** (the **"Service"**). By creating an account or otherwise accessing the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.

If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization. References to "you" then mean both you and that organization.

## 2. Definitions

- **"Service"** — the SSHED web SSH gateway, including the website at `sshed.net`, the application at `app.sshed.net`, related APIs and documentation.
- **"Account"** — the account you create when you sign up.
- **"Customer Data"** — data you submit to the Service, including server metadata, SSH keys, saved connections, and audit logs.
- **"Subscription"** — a paid plan (Pro or Enterprise) you subscribe to.
- **"Free Plan"** — the no-cost tier with the limits at `sshed.net/#pricing`.
- **"Mesh"** — a Tailscale or Headscale network you connect to SSHED.

## 3. The Service

SSHED is a web-based SSH gateway that lets you connect to servers on your existing Tailscale or Headscale mesh from a browser tab. SSHED **does not** provide hosting, compute, or managed infrastructure. The servers you connect to remain your responsibility. SSHED is a developer-experience layer on top of a network you provide.

We may add, change, or remove features. We will try to give reasonable notice of material changes that affect paying customers. If a change materially reduces functionality you depend on, you may cancel for a pro-rated refund per Section 7.

## 4. Accounts & eligibility

You must be at least 16 years old and able to enter into a binding contract to use the Service. You agree to provide accurate information when signing up and to keep it current.

Authentication is handled by Auth0. You are responsible for keeping the credentials of your identity provider secure and for any activity that occurs under your Account. Notify us promptly at `security@sshed.net` if you believe your Account has been compromised.

You may not share Account credentials with others. On Free and Pro plans, each Account is for a single individual. Team usage requires the Enterprise plan.

## 5. Acceptable use

You agree not to:

- Use the Service to access servers you are not authorized to access.
- Use the Service to send spam, distribute malware, or carry out illegal activity.
- Probe, scan, or test the vulnerability of the Service or its infrastructure without our written permission, or breach any security or authentication measures.
- Interfere with or disrupt the Service, including by overloading rate limits, attempting to circumvent quotas, or scraping data we have not made available for that purpose.
- Reverse-engineer, decompile, or attempt to derive source code from the Service, except to the extent allowed by mandatory local law.
- Resell, sublicense, or white-label the Service without an Enterprise agreement.
- Use the Service to violate the rights of third parties or applicable law (including export-control or sanctions laws).

We may investigate suspected violations, suspend Accounts (with or without notice in clear abuse cases), and report unlawful activity to authorities.

## 6. Plans, billing & refunds

### 6.1 Free plan
The Free plan is offered without charge, with quotas as listed at `sshed.net/#pricing`. We may change quotas with at least 30 days' notice to Free-plan users.

### 6.2 Pro plan
Pro is billed at **$25/month** (or **$240/year** annual) via Stripe. Pro renews automatically at the end of each billing cycle until you cancel. Prices may change with at least 30 days' notice; price changes apply at the start of the next billing cycle.

### 6.3 Enterprise plan
Enterprise terms (pricing, scope, SLA, contract length, payment terms) are agreed in a written order form. The order form prevails over these Terms where they conflict.

### 6.4 Taxes
Prices are exclusive of any applicable taxes. Where required by law, taxes will be added to your invoice. Stripe Tax may handle this on our behalf.

### 6.5 Refunds
Monthly Pro subscriptions are non-refundable; you keep access through the end of the paid period after cancelling. Annual Pro subscriptions are refundable on a **pro-rated basis** for unused full months. Enterprise refunds follow the order form.

### 6.6 Failed payments
If a payment fails, we will retry per Stripe's default schedule and notify you by email. If unresolved after 14 days, we may downgrade your Account to the Free plan; data is retained per the Privacy Policy.

## 7. Cancellation

Cancel at any time from the Stripe Customer Portal (linked from your Billing page). Cancellation takes effect at the end of the current billing cycle for monthly plans, or immediately with a pro-rated refund for annual plans. After cancellation, your Account drops to the Free plan.

To delete your Account entirely, use the "Delete account" action in Account Settings. We retain backups for the limited window described in our Privacy Policy.

## 8. SSH keys & user data

Private SSH keys generated in SSHED are stored encrypted at rest using a per-deployment encryption key. We undertake reasonable measures to protect them, but you acknowledge that no encryption is absolute. You may rotate keys at any time. You are responsible for the security of any keys you bring to SSHED yourself ("BYO keys").

We may export your data on request in a structured, machine-readable format. See the Privacy Policy.

## 9. Your servers, your responsibility

SSHED gives you a browser-based terminal into servers *you* own or operate. You are solely responsible for:

- The configuration, patching, security, and lawful operation of those servers.
- The configuration of your Tailscale or Headscale mesh.
- The contents of any files, data, or workloads on those servers.
- Compliance with the terms of any third-party software you run on them.
- Any access granted to other people via the keys SSHED installs.

We are not a hosting provider and have no visibility into or control over your servers.

## 10. Service availability

We aim to provide a reliable Service but offer **no uptime SLA on the Free plan**. On the Pro plan, we make commercially reasonable efforts to maintain availability; any specific SLA commitments to Enterprise customers are set out in the order form.

Scheduled maintenance is announced in advance where reasonably possible. We are not liable for downtime caused by your subprocessors (e.g. Tailscale, Headscale), your network, the public Internet, or events outside our reasonable control (Section 19.3).

## 11. Suspension & termination

We may suspend or terminate your Account if you materially breach these Terms, if your use poses a security risk to the Service or other users, or if required by law. Where possible, we will give you notice and a chance to cure.

You may stop using the Service at any time. Termination by either party does not refund fees already paid except as set out in Section 6.5.

Sections that by their nature should survive termination (definitions, IP, disclaimers, liability, indemnification, governing law) survive termination.

## 12. Intellectual property

SSHED, including its software, design, brand, and documentation, is owned by GTAI and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service per these Terms. No other rights are granted by implication.

You retain all rights in your Customer Data. You grant us a limited license to process Customer Data only as necessary to deliver and improve the Service.

## 13. Privacy

Our handling of personal data is described in the Privacy Policy (https://sshed.net/privacy/), which is incorporated into these Terms by reference.

## 14. Disclaimers

The Service is provided **"as is" and "as available"**. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade.

We do not warrant that the Service will be uninterrupted, error-free, or secure; that defects will be corrected; or that any data will be permanently retained beyond the periods stated in the Privacy Policy. You use the Service at your own risk.

## 15. Limitation of liability

To the maximum extent permitted by law, in no event will either party be liable to the other for any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, revenue, business opportunities, goodwill, or data — even if advised of the possibility.

Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) **USD 100**, or (b) the total amount you paid to us for the Service in the **12 months** preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law (e.g. liability for gross negligence, willful misconduct, or death or personal injury).

## 16. Indemnification

You agree to defend, indemnify, and hold harmless GTAI and its officers, employees, and agents from any claim, loss, damage, or expense (including reasonable legal fees) arising out of your use of the Service in violation of these Terms or applicable law, your Customer Data, or your servers.

## 17. Changes to these terms

We may update these Terms. Material changes are notified to registered users by email at least 14 days before they take effect, and the "Last updated" date at the top is revised. Continued use of the Service after the effective date constitutes acceptance.

## 18. Governing law & disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict of laws rules. The courts of the United Arab Emirates have exclusive jurisdiction over disputes, except that we may seek injunctive relief in any competent court to protect our intellectual property or confidentiality.

If you are a consumer in the European Economic Area or the United Kingdom, you may also have recourse to the mandatory consumer-protection laws of the country in which you reside, and to the courts there.

## 19. Miscellaneous

### 19.1 Entire agreement
These Terms (with the Privacy Policy, any order form, and any policies referenced) are the entire agreement between the parties regarding the Service and supersede any prior agreement on the same subject matter.

### 19.2 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or a successor in connection with a merger, acquisition, or sale of assets.

### 19.3 Force majeure
Neither party is liable for any failure or delay caused by events outside its reasonable control, including acts of God, war, terrorism, civil disturbance, labor disputes, government action, failures of upstream networks or subprocessors, pandemics, or natural disasters.

### 19.4 No waiver
A party's failure to enforce a right under these Terms is not a waiver of that right.

### 19.5 Severability
If any provision is held unenforceable, the remaining provisions will continue in full force, and the unenforceable provision will be replaced by an enforceable one closest in intent.

### 19.6 Independent contractors
The parties are independent contractors. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
